Terms of Service

Effective Date: January 1, 2026 • Pride Digitals, Belagavi

1. Scope & Applicability

These Terms of Service (“Terms”) govern all commercial engagements, software development agreements, website design contracts, software product licenses, digital marketing services, and training programs provided by Pride Digitals (“Company”), having its principal place of business at RPD Cross, Deshmukh Road, Tilakwadi, Belagavi, Karnataka 590006, India.

By commissioning a project, signing a Statement of Work (SOW), issuing a Purchase Order, or accessing our software products, the Client agrees to be legally bound by these Terms.

2. Service Delivery & Milestone Structure

All custom engineering and digital projects are executed according to a written Statement of Work defining:

  • Functional specifications, architectural requirements, and deliverable modules.
  • Project timelines divided into structured discovery, design, development, user acceptance testing (UAT), and deployment milestones.
  • Clear change management processes. Scope expansions beyond the approved SOW will be billed separately upon mutual written agreement.

3. Intellectual Property Rights & Code Transfer

Upon 100% full settlement of all invoiced milestone amounts for custom-developed software or websites, Pride Digitals transfers full copyright and intellectual property rights for the custom source code, design assets, and database architecture to the Client.

Software Products: For off-the-shelf software products (e.g. Pride Digitals ERP, Clinic, or Billing modules), the Client is granted a non-exclusive, non-transferable perpetual or subscription license to utilize the application for their business operations. The underlying proprietary core frameworks remain the intellectual property of Pride Digitals.

4. Payment Terms & Invoicing

  • All invoices are denominated in Indian Rupees (INR) or applicable international currencies as specified in the SOW, inclusive of applicable GST.
  • Payments are structured on milestone approvals (e.g., Advance Booking, Design Approval, Beta Delivery, and Final Production Handover).
  • Digital marketing retainers and cloud maintenance retainers are invoiced in advance at the start of each monthly billing cycle.
  • Late payments exceeding 15 business days may incur an administrative interest charge of 1.5% per month or temporary suspension of staging servers until cleared.

5. Client Cooperation & Materials

Timely project delivery depends upon prompt Client feedback, provision of necessary brand collateral, content, API credentials, and approvals within 5 business days of submission. Delays arising from prolonged Client non-response will proportionally extend project delivery dates.

6. Post-Launch Warranty & Support

Unless otherwise specified in writing, all bespoke software and websites delivered by Pride Digitals include a 30-day post-launch warranty covering bug fixes, rendering issues, and defect rectification for items included in the original scope. Maintenance retainers and extended Service Level Agreements (SLAs) are available for continuous support, server patches, and feature additions.

7. Third-Party Platforms & Advertising Ad Spend

For digital marketing, search engine optimization, and paid ad management:

  • Ad spend is paid directly by the Client to advertising networks (Google Ads, Meta Ads) via their corporate billing cards. Pride Digitals fees cover professional campaign strategy, asset creation, optimization, and analytics.
  • While Pride Digitals utilizes industry-best conversion practices, we do not guarantee specific algorithmic placement or external platform uptime governed by third-party search engines or social media networks.

8. Limitation of Liability

In no event shall Pride Digitals, its directors, or developers be liable for any indirect, incidental, consequential, or punitive damages (including loss of business profits or data downtime) arising from server hosting outages, third-party cyber intrusions beyond reasonable control, or force majeure events. Our total liability under any claim shall not exceed the total fees paid by the Client to Pride Digitals under the specific Statement of Work.

9. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of India. The courts of Belagavi, Karnataka, India shall have exclusive jurisdiction to settle any dispute.
